ROLE SCOPE:

The key function of this role involves acting as the business/product compliance officer for B2C2's pending swap dealer entity. It requires playing a pivotal role in overseeing the swap dealer application process. The individual in this position will be responsible for establishing internal strategies, policies, procedures, and programs to ensure compliance with U.S. commodities swaps rules and regulations (CFTC/NFA), and securities-based swaps as required. Reporting to the CEO and Global Compliance, the Swap Dealer Compliance Officer/CCO will collaborate with stakeholders across various company functions, including operations, risk, sales, trading, legal, IT, and business management.

Responsibilities:

  • Lead and oversee the swap dealer application activities, including liaising with external advisory firms for the development of regulatory policies, procedures, controls, and processes.
  • Advise on and implement the Swap Dealer Compliance Program, ensuring adherence to requirements such as policies, training, risk assessments, governance, and management reporting.
  • Collaborate with Global/US Legal and Compliance teams to align the swap dealer integration with B2C2’s global compliance program while upholding the organization’s ethical standards.
  • Work closely with internal stakeholders on CFTC, NFA, and potentially SEC swap dealer matters.
  • Provide guidance on regulatory requirements and developments concerning swap dealer regimes, including business conduct requirements, swap data reporting, risk-based capital programs, margin, and recordkeeping.
  • Support Compliance, Regulatory, and Legal Teams in responding to swap dealer-related regulatory inquiries, audits, examinations, etc., and coordinate responses with key stakeholders.
  • Act as a point of contact for compliance issues within and outside the organization, engaging with regulators and clients as necessary.
  • Manage conflicts of interest and other operational issues related to the Swap Dealer Compliance Program.
  • Oversee NFA membership requirements, including personnel criteria and NFA examinations.
  • Collaborate with B2C2’s Trade/Communications Surveillance, Transaction Monitoring/AML teams on market conduct and trading matters.
  • Assist in developing monitoring and testing programs for regulatory obligations, working with Compliance and business teams in this process.
  • Stay updated with regulatory developments in swaps/derivatives markets and provide advice on evolving regulatory landscapes, particularly regarding crypto assets.
  • Offer guidance to B2C2 businesses/management on derivatives-related internal policies, procedures, rules/regulations, and regulatory expectations.
  • Assist in preparing presentations for various governance forums and meetings, including board presentations and CFTC Swap Dealer Chief Compliance Officer Reports.

Qualifications and Education:

  • Bachelor’s (BA/BS) degree is a must.
  • Minimum of 7 years’ experience in a relevant role centered on CFTC/NFA regulatory compliance or legal affairs, with exposure to fintech or cryptoasset trading being advantageous.
  • Demonstrated knowledge of CFTC/NFA swap dealer requirements, laws, and regulations.
  • Proficiency in swaps products and markets.
  • Familiarity or fluency with cryptocurrency and blockchain industry concepts is beneficial.
  • Experience in crafting and implementing compliance programs and policies in a fast-paced growing company environment.
  • Strong organizational skills and capable of managing multiple priorities effectively.
  • Ability to make independent decisions while also being a collaborative team player.
  • Willingness to work across different time zones with a global team.
  • Excellent interpersonal skills, both written and verbal.
  • Ability to interact effectively with various stakeholders and teams within the organization.
  • Energetic and proactive attitude with a track record of excelling in high-pressure environments.
