Who You Are:

If you join us as a Corporate Counsel, you will work within a seasoned Legal team focusing on capital markets, corporate governance, and general corporate matters. Reporting to the Deputy General Counsel, you will engage in a diverse range of legal issues with room for professional growth beyond the current scope of this role. The ideal candidate possesses experience from a large law firm advising clients on diverse corporate legal matters, particularly capital markets and corporate governance. This role is based in New York, and relocation costs are not covered.

What You’ll Do:

  • Disclosure and Reporting:

  • Assist in preparing securities filings and analyzing securities law requirements for annual and quarterly reports, proxy statements, and press releases.

  • Review external communications like research, marketing materials, and investor presentations.

  • Continuously improve and oversee policies, procedures, and regulatory disclosure criteria.

  • Financing:

  • Provide legal counsel on various public and private capital markets transactions and associated documentation.

  • Governance and General Corporate:

  • Develop and review corporate governance materials for board, committee, and management meetings.

  • Offer legal advice on public company corporate governance matters and related documents.

  • Equity Compensation and Employment Law:

  • Assist in various legal matters regarding equity plans and employment law.

  • Other:

  • Engage in additional assignments from the Deputy General Counsel and the legal team.
