Finance and Controls – Board Director, Independent, Crypto-Literate

We are in search of a seasoned Finance Director to guide our organization through a pivotal transition phase in preparation for public market readiness. This strategic role is centered on establishing first-rate financial controls, governance frameworks, and audit preparedness crucial for our growth trajectory within the dynamic crypto landscape.

The preferred candidate will act as Chair of our Audit and Risk Committee, bringing extensive expertise in traditional financial controls and the intricate nature of token-based revenue accounting. Responsibilities include implementing robust control frameworks addressing both fiat and digital asset revenue streams to ensure our financial operations align with the transparency and oversight standards expected of public companies and sophisticated investors.

This position is a time-bound advisory role akin to a "CFO-lite" setup, focusing on laying the groundwork for systems and governance structures rather than day-to-day operational management. The ideal candidate will have the foresight to design scalable financial processes while comprehending the regulatory intricacies of crypto revenue recognition, treasury management, and risk frameworks to strategize for long-term success in public markets.

Competencies

• Crypto finance expertise: Comprehensive understanding of token accounting, crypto-related finance, exchange intricacies, and vendor processes.
• Governance and controls: Proficiency in establishing audit-ready controls, frameworks similar to SOX, compliance with disclosure requirements, and mapping ICFR.
• Risk management: Knowledge in creating risk registers, conducting vendor due diligence, handling incidents, and implementing asset protection practices.
• Treasury oversight: Skill in designing policies and reports for both crypto and fiat assets, setting counterparty limits, and continual monitoring.
• Documentation hygiene: Proficient in crafting board-level documents, maintaining clean audit trails, ensuring accurate committee records, and preparing reports suitable for investors.
• Strategic oversight: Ability to bridge technical financial details with overarching governance in the ever-evolving crypto landscape.

Role Requirements

• Minimum of 4 years’ experience in crypto or crypto-related finance, or leadership in audit.
• Proven track record in token accounting, treasury risk management, and exchange/vendor oversight.
• Demonstrated success in developing DCP/ICFR or SOX-like environments and delivering audit-ready packages.
• Excellent documentation and communication skills at a board level.
• Willingness and ability to obtain approval for external activities and sign agreements related to conflicts and confidentiality.
