Legal Counsel - Capital Markets - European Union (EU)
The Legal Team is responsible for offering legal and regulatory guidance to ensure compliance with local regulations for all products and services while aligning with customer requirements. The role involves interfacing with external regulatory bodies and service providers to validate compliance with relevant laws and regulations.
This position reports to the Global Head of Capital Markets, Legal and collaborates closely with the Legal Team in the EU. The key focus is to serve as the Legal Team's expert on EU Investment Firm laws and regulations and the products offered across the EU. Offering proactive legal advice, driving compliance, and guiding multiple stakeholders in enabling the launch of products and services ensuring obligations and customer needs are met are essential responsibilities. Collaborating cross-functionally to assess and mitigate legal and regulatory risks while maximizing commercial opportunities in introducing new offerings.
Responsibilities:
- Providing legal and regulatory support for the Investment Firm based in the EU, focusing on regulations such as MiFID, MiFIR, IFR/IFD, MAR, and MiCA.
- Addressing legal and regulatory matters related to various financial instruments, including derivatives, disclosure requirements, and trade flows.
- Leading processes for maintaining the Investment Firm license and passporting under MiFID and relevant laws.
- Contributing to the authorization process as a crypto asset service provider under MiCA regulation.
- Ensuring compliance with MiCA across the organization to deliver projects within tight timelines.
- Drafting, reviewing, and updating policies, procedures, terms and conditions related to trading regulated products.
- Representing the company on various topics with NCAs, ESMA, and other regulators.
- Auditing marketing materials for compliance with MiFID and MiCA regulations.
- Collaborating with external legal counsel to ensure compliance in all operational jurisdictions.
Requirements:
- Qualified lawyer with 5 to 10 years of experience in financial product legal and regulatory affairs, handling issues for MiFID-regulated clients.
- Strong understanding of EU financial laws and track record in maintaining licenses under relevant frameworks.
- Familiarity with industry practices, compliance standards, and cross-border financial rules.
- Proficiency in MiCA regulations and willingness to work within this regulatory framework.
- Excellent communication skills in English, both written and verbal.
- Strong organizational and project management abilities to manage multiple tasks effectively.
- Capability to build and nurture relationships with stakeholders.
- Flexibility to engage in calls and meetings across different time zones.
- Skilled in problem-solving, issue identification, and proposing viable solutions.
