We are currently looking for a skilled commercial contracts attorney. The ideal candidate should have a strong understanding of contract law and best practices within the industry to inform strategy in contract drafting and negotiation with external parties.

Location: SoHo in New York City with the flexibility of partial or fully remote work opportunities.

Key Responsibilities

  • Structure, draft, negotiate, and review various commercial contracts including vendor agreements, service agreements, licensing agreements, collaboration agreements, and consulting agreements.
  • Offer legal counsel and support on contractual matters to different team members ensuring compliance with company policies and relevant laws.
  • Work collaboratively with cross-functional teams such as product, engineering, and business development to facilitate contract negotiations and resolve disputes in a timely manner.
  • Develop and maintain contract templates, standard clauses, and additional legal resources to streamline the contract review and negotiation process.
  • Manage the contract lifecycle process, including tracking key milestones, renewals, and amendments, and ensuring accurate record-keeping in contract management systems.

Requirements

  • Juris Doctor (JD) degree with good standing in at least one US state bar.
  • Minimum of 2 years' professional experience in commercial contracts.
  • Extensive background in drafting, negotiating, and reviewing complex commercial contracts.
  • Profound understanding of contract law principles and commercial transactions.
  • Ability to manage multiple tasks and prioritize workload in a fast-paced environment.
  • Strong communication skills, both written and verbal, with exceptional attention to detail.
  • Excellent judgment and decision-making skills in ambiguous situations.

Preferred Qualifications

  • Experience at an AM Law 100 corporate law firm or in working with technology or emerging companies.
  • Previous experience in drafting intellectual property focused agreements, especially licenses.
  • Familiarity with the Web3/crypto ecosystem dynamics.
