Corporate Counsel – Real Estate
Job Overview
CleanSpark is seeking a skilled Real Estate Attorney with 3-5 years of experience in commercial real estate to support the company's growth in site acquisitions, land development, and infrastructure expansion. This position is suited for individuals who excel in a dynamic environment, enjoy advising on high-value real estate transactions, and are eager to collaborate with business teams to drive projects from inception to completion.
The attorney will be responsible for providing legal support for property acquisitions, site due diligence, entitlements, land use, permitting, zoning, title/survey review, commercial leasing, easements, and development agreements. This role presents significant autonomy and direct interaction with the business, offering opportunities to influence strategic decisions within a high-growth organization. The attorney will liaise with external counsel and contractors as necessary and maintain communication with the General Counsel and leadership team throughout all projects. Some level of travel may be required.
Key Responsibilities
- Draft, review, and negotiate various real estate contracts, including purchase and sale agreements, ground leases, easements, and development-related documents.
- Manage real estate due diligence processes for acquisitions and development ventures, encompassing title/survey reviews, environmental assessments, zoning evaluations, and land-use limitations.
- Support project teams in zoning, permitting, and entitlement strategies, collaborating with external land-use advisors, consultants, and local authorities.
- Advise internal stakeholders on property rights, development risks, permitting procedures, utility access, and site assessment considerations.
- Direct outside counsel on real estate and land-use matters when needed.
- Collaborate with internal teams (Development, Construction, Engineering, Operations, M&A) to structure and execute transactions aligned with company objectives.
- Support project timelines, closing checklists, and critical date tracking for real estate transactions.
- Assist in matters related to corporate governance, entity formation, and transaction approvals.
- Contribute to process improvements, template development, and legal workflow enhancements to accommodate the company's growth.
- Ensure compliance with federal, state, and local land-use laws, environmental regulations, and internal policies.
- Perform any additional tasks as delegated.
Required Qualifications
- J.D. from an accredited law school with active bar membership in a U.S. jurisdiction (Utah or Nevada preferred but not mandatory).
- 3-5 years of substantive experience in commercial real estate, either in a title company, law firm, in-house legal department, or real estate development firm.
- Proficiency in acquisitions, title/survey matters, land development, permitting processes, and contract negotiation.
- Familiarity with energy infrastructure, data centers, utilities, or industrial development (preferred but not required).
- Strong project management skills to handle multiple transactions and deadlines independently.
- Excellent drafting, communication, and negotiation abilities.
- Business-oriented mindset with a pragmatic problem-solving approach.
- Ability to thrive in a fast-paced, collaborative, and entrepreneurial setting.
The salary for this position ranges from $175,000 to $225,000 annually.
