Overview of the Associate Counsel Role
For those who excel at crafting legal solutions in a dynamic, globally expansive business and regulatory setting, B2C2 offers an opportunity as an Associate Counsel within the Legal Department. Responsibilities
- Assist the General Counsel in executing key priorities, shaping business strategy, and assessing risk considerations while effectively collaborating with various functions such as Legal, Compliance, Risk, HR, and Marketing to achieve B2C2’s overarching objectives.
- Engage in strategic negotiations with counterparts, including preparing draft documents, original agreements, and subsequent amendments (e.g., Master Agreements, ISDA agreements, NDAs).
- Conduct due diligence pre- and post-agreement completion, involving legal opinion reviews and related document vetting.
- Manage subpoena responses, regulatory memos, and internal reviews in conjunction with the legal and compliance teams.
- Develop and implement robust privacy strategies aligned with international, federal, and state privacy regulations (e.g., GDPR).
- Provide support for litigation, preparing legal documents and collaborating with internal and external legal teams.
- Identify and address information governance priorities, conduct global market research, and collaborate with legal, compliance, and regulatory teams to shape company strategy.
- Undertake ad hoc duties as required to meet changing business needs.
- Cultivate and maintain effective relationships with B2C2 staff on a global scale.
Qualifications and Education Requirements
- Graduated with a JD from an ABA accredited law school or international equivalent.
- Licensed to practice law in the United States.
Requirements
- Three years or more of relevant experience in securities, corporate, or banking law, ideally within a major law firm.
- Strong analytical skills.
- Familiarity with legal aspects of cryptocurrencies, encompassing regulatory frameworks pertaining to financial instruments, compliance requirements, privacy laws, and corporate governance.
- Effective people and project management abilities, facilitating detailed cross-functional collaboration.
- Exceptional interpersonal and communication proficiencies, adaptable to internal and external interactions to foster alignment and cohesive action.
- Can-do attitude with a determined, team-oriented approach to execution.
Preferred Qualifications
- Experience in technology or financial services sectors.
- Prior interaction with regulators, data protection authorities, and financial institutions.
- Extensive knowledge of U.S. and international privacy and data protection laws, including GDPR.
- Expertise in handling global employment matters, specifically within the Americas.
- Experience in drafting various legal documents, cybersecurity standards, and risk assessments.
