We are seeking a Corporate Paralegal to collaborate with our legal department on various aspects of corporate law, from documentation to legal proceedings. The Corporate Paralegal will play a key role in corporate litigation processes and other business legal requirements, including attending corporate meetings, preparing resolutions, and related tasks.
Roles & Responsibilities
- Review, track, and monitor legislation impacting the company's products and processes.
- Provide timely analysis and summaries of new legislation for leadership.
- Assist in adapting contracts to comply with laws and regulations.
- Support litigation, mediation, arbitration procedures, and manage complaint responses.
- Handle company licensing renewals and maintenance.
- Draft and manage business entity documents related to corporations, LLCs, and partnerships.
- Prepare legal contracts, correspondence, and other relevant documents.
- Create organizational documents like articles of incorporation, dissolution, stock certificates, and merger agreements.
- Draft various contracts such as employment agreements and non-compete clauses.
- Prepare and distribute annual reports.
- Assist with regulatory paperwork and respond to Requests for Information.
- Support ethics and compliance programs.
- Conduct legal research.
- Perform additional tasks as assigned.
