Paralegal - Real Estate
Job Overview
The Real Estate Paralegal position involves offering comprehensive legal support within the Legal Department, with a primary emphasis on real estate dealings, title and survey affairs, as well as drafting and reviewing documentation. The ideal candidate should possess practical real estate legal experience, sound judgment to locate information from various sources, and the ability to anticipate requirements within a fast-paced legal team.
Key Responsibilities
- Evaluating title commitments, title insurance policies, ALTA surveys, and exception documents related to commercial real estate transactions.
- Conducting due diligence on titles and surveys, identifying issues like defects, encumbrances, easements, and other matters necessitating resolution.
- Managing and tracing title searches, UCC searches, municipal lien searches, and other related due diligence items.
- Conducting general real estate investigations.
- Researching zoning ordinances, land use regulations, special use permits, and municipal codes affecting specific properties.
- Assisting with the creation of purchase and sale agreements, leases, easements, deeds, and other real estate documents.
- Collaborating with external parties such as title agents, surveyors, engineers, etc., for due diligence, closings, and property development requirements.
- Assisting in pre- and post-closing tasks, including checklists, document execution, post-closing record processing, and closing binders.
- Drafting, revising, and overseeing legal documentation like contracts, corporate resolutions, and entity formation filings.
- Developing and customizing legal forms and templates, recognizing when alterations to standard forms are necessary and carrying out changes independently.
- Conducting research beyond conventional legal databases to identify zoning designations, deed restrictions, utility easements, ordinances, and governmental records.
- Monitoring and summarizing legislative and regulatory changes that impact the company’s real estate operations.
- Providing support in real estate litigation, mediation, arbitration, licensing renewals, and regulatory compliance matters.
- Maintaining records related to the real estate portfolio.
- Addressing information requests.
- Any other duties as designated.
The successful candidate must demonstrate professionalism, respect, effective communication skills, and the ability to collaborate within a team-oriented and inclusive setting.
Required Qualifications
- Associate or bachelor’s degree, paralegal certificate from an ABA-approved program, or an equivalent legal background.
- At least 5 years of paralegal experience, predominantly focused on commercial real estate.
- Hands-on experience with reviewing title commitments, title insurance policies, ALTA surveys, and due diligence materials.
- Proficiency in commercial real estate transactions such as acquisitions, dispositions, and leasing.
- Strong capability to identify and interpret zoning ordinances, easements, governmental records, and public land use documents.
- Proven ability in drafting, editing, and customizing legal documents and forms independently.
- Excellent research skills encompassing legal and practical aspects, with the capacity to find information from diverse sources.
- Proficiency in Microsoft Office Suite and legal document management systems.
Preferred Qualifications
- Prior experience in real estate within an energy, infrastructure, or development company.
- Understanding of land use entitlements, permitting, and environmental due diligence.
- Experience liaising with state and county recording offices, title companies, surveyors, engineers, as well as sellers and purchasers.
- Background in supporting a transactional legal team in a high-volume environment.
The annual salary range for this role is $80,000 - $100,000. This position may involve tasks requiring the operation of a company vehicle or travel between job sites. Therefore, candidates must be insurable under CleanSpark's vehicle insurance policy.
