About Toku and the role
Toku is a prominent global solution that specializes in token compensation and tax compliance within the blockchain and crypto industry. The organization collaborates with reputable law firms like Cooley, Orrick, Goodwin, and Fenwick to implement token incentive plans for crypto companies, ensuring compliance in all jurisdictions of operation. Working closely with companies from inception, Toku facilitates tax-efficient token generation events for emerging L1’s and L2’s like Polygon, integrating them with fiat payroll systems. The General Counsel at Toku plays a pivotal role in partnering with the co-founders and CEO to establish the company as a vital infrastructure provider for the crypto industry, enabling seamless integration of tokens in compensation practices.
Key Responsibilities
- Cultivate partnerships with law firms to establish Toku as a preferred resource for token grants, incentive plans, and grant administration.
- Offer expert guidance in discussions with law firms, tax firms, potential clients, and address client inquiries.
- Participate in industry events, panel discussions, and foster relationships with key clients and partners to become a trusted authority in token compensation.
- Lead webinars in collaboration with law firms to educate the industry and drive engagement with Toku.
- Develop thought leadership and educational content pertaining to Toku’s offerings and related subjects.
- Provide legal direction for new product expansions across different jurisdictions.
- Support the Product team in regulatory research for new markets and products, particularly concerning token salary and grant disbursements.
- Ensure compliance of new products with privacy and data security regulations, implementing necessary measures.
- Keep the Product team abreast of industry trends and regulatory modifications influencing product development.
- Stay updated on U.S. and international laws regarding tokens and cryptocurrencies, encompassing securities, tax, money transmitter, and anti-money laundering regulations.
- Undertake responsibilities of a Compliance Officer, inclusive of leading U.S. licensing endeavors (e.g., MTL licensing) and compliance initiatives in various jurisdictions.
- Manage contracts by drafting, reviewing, and negotiating agreements such as employment, service, and sales contracts.
- Provide counsel on intellectual property and data protection issues for internal and client requirements.
- Render advice on corporate governance matters and prepare essential documents to ensure legal compliance.
Qualifications
- Possess 2-4 years of experience as a General Counsel, Associate GC for a venture-backed startup, or a minimum of 7 years in a major law firm.
- Demonstrated expertise in handling legal and regulatory affairs related to equities, tokens, and cryptocurrencies.
- Proficiency in U.S. securities, tax laws, and global compensation and benefits frameworks.
- Strong skills in contract drafting, review, and negotiation.
- Excellent written communication skills, capable of producing thought leadership content.
- Sound interpersonal abilities for cultivating client and partner relationships.
